Terms of Recruiting Service

The EMAC Group, LLC. (EMAC) maintains Professional Snapshot (profile) and resumes of applicants, in a searchable database on its Web site, www.emacjobs.com. EMAC also maintains a databank of resumes that is searchable only by EMAC's staff to supplement Employer's/Recruiter's search for candidates when the profile database does not reveal candidates with the skills and experience needed by Employer/Network Recruiter.

In exchange for Employer/Network Recruiter registering as a subscriber, EMAC will provide Employer/Network Recruiter with the following services:

  1. Actively develop and maintain an exclusive database of candidate containing individual profiles reflecting information that Employer/Network Recruiter can use to ascertain whether he or she wishes to see an executive's resume. The profile, identified to Employer/Network Recruiter by only the candidate's user-id, is designed to provide anonymity and security to those candidates commonly referred to as passive job seekers, who would not otherwise maintain their personal information on an Internet Web site.
  2. Maintain a databank containing resumes of candidate for keyword searches by EMAC personnel at Employer's/Recruiter's request. EMAC will perform such a search only if an insufficient number of candidates were identified from Employer's/Recruiter's previous search of the profile database.
  3. Assist Employer's/Network Recruiter's efforts to identify qualified candidates by performing direct recruiting, candidate generations fee based services and preliminary interviews of candidates before forwarding their resumes to Employer/Network Recruiter.
  4. Maintain notes on discussions with candidates that EMAC personnel will share with Employer/Network Recruiter without compromising the candidates' identity.
  5. Administer profiles to ensure that they contain reasonably accurate information and that the executive completing a profile intends to consider seriously potential offers of employment.
  6. Protect Employer's/Network Recruiter's anonymity, and that of his or her client, from executives, unless Employer/Network Recruiter specifically authorizes EMAC personnel to disclose such information.

Upon becoming a registered subscriber and benefiting from EMAC's services as described above, Employer/Network Recruiter hereby agrees to:

  1. Search the EMAC profile database only when Employer/Network Recruiter has a written or implied agreement with a client or potential client to find a candidate for a new or an existing, unfilled or replacement, position.
  2. Request EMAC personnel to perform resume searches of the database only after Employer/Network Recruiter has performed a candidate search of the profile database.
  3. Cooperate with EMAC personnel by sharing client or other confidential information reasonably requested by potential candidates to help them decide whether they wish to pursue an opportunity. EMAC will not disclose any company or other confidential information directly to candidates without Employer's/Network Recruiter's specific authorization.
  4. Pay search option services fee, as outlined in the Fee Agreement, within 20 days from the first day that an eligible candidate commences employment, as it may be modified from time to time. An eligible candidate is any candidate identified from Full Service whose resume is forwarded to Employer/Network Recruiter at Employer's/Recruiter's request and who is subsequently employed within twelve months of EMAC's sending their resume to Employer/Network Recruiter. Employment means full-time or part-time employment or working as an independent contractor engaged by Employer/Network Recruiter himself or herself or by any entity affiliated in any way with Employer or that owes the recruiter a fee for placing the candidate with them, regardless of whether the recruiter is ultimately paid by his or her client.
  5. Pay executive search services fee, within 20 days of receipt of EMAC's invoice, for all Added-Value Services requested by Employer/Network Recruiter.
  6. Prepare Job Postings as accurately as possible, and only for a new or an existing, unfilled or replacement position. Network Recruiter agrees not to post a job if he or she does not have a contractual or implied assignment.

If Employer/Network Recruiter fails to comply with any section stated above, The EMAC Group reserves the right to limit or deny Employer's/ Network Recruiter's access to the The EMAC Group's Web sites. Failure to promptly pay The EMAC Group's fees will result in Employer/Network Recruiter being denied access to the Web site and may result in The EMAC Group taking any other remedies that are available to it under the laws of the State of Florida.
